Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Designly website, applications and related services (together, the “Service”) operated by Alexander Kutuzov, trading as Designly (“we”, “us”, “our”). By creating an account or using the Service you agree to these Terms.

1. Eligibility & account

• You must be at least 16 years old to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must provide accurate information when creating an account or placing an order, and keep your details up to date.

2. The Service

Designly lets you generate AI-powered clothing designs from text prompts and reference images, iterate on those designs, and order physical garments printed by our fulfilment partner. The Service is provided on an “as-is” and “as-available” basis. Features may change, be added or removed at any time.

3. Acceptable use

You agree not to use the Service to:

• Generate or upload content that is illegal, defamatory, obscene, sexually explicit involving minors, hateful, or that incites violence.
• Infringe the intellectual property, trademark, privacy or publicity rights of others (including by uploading or recreating logos, brand assets or recognisable likenesses without permission).
• Attempt to bypass, disrupt or overload the Service, including automated scraping or abuse of generation quotas.
• Resell, sublicense or rebrand the Service without our consent.

We may suspend or terminate accounts that violate these rules, and we may remove generated content that we reasonably believe breaches these Terms or applicable law.

4. Your content & AI-generated designs

You retain ownership of the prompts and reference images you submit (“Inputs”). You grant us a worldwide, royalty-free licence to host, process and use Inputs to operate and improve the Service and to fulfil orders.

Subject to your compliance with these Terms, we grant you a worldwide, non-exclusive licence to use the AI-generated designs produced for you (“Outputs”) for personal and commercial purposes, including ordering printed garments. You are responsible for ensuring your use of Outputs does not infringe third-party rights.

AI-generated images may be similar or identical to images generated for other users. We do not guarantee exclusivity or copyright-ability of any specific Output, and the legal status of AI-generated content is still evolving in many jurisdictions.

As described in our Privacy Policy, generated design images are stored on AWS at URLs that can be opened by anyone with the link, so that our print-on-demand partner can fetch them. Do not include confidential or sensitive material in your prompts or reference images.

5. Orders, payments & shipping

• Prices are shown in the currency stated at checkout and include applicable taxes unless otherwise indicated.
• Payments are processed by Stripe. By placing an order you authorise us (and Stripe) to charge the payment method you provide.
• Production and shipping are handled by our fulfilment partner (Printful). Estimated production and delivery times are shown at checkout and are not guaranteed.
• Risk of loss and title for purchased items pass to you on delivery to the carrier.

6. Returns, refunds & cancellations

Because each garment is printed to order based on your unique design, items are made-to-order and personalised. Under UK consumer law, the right to cancel personalised goods is limited.

If your item arrives damaged, defective, or significantly different from what you ordered, please contact alex@designly.tech within 14 days of delivery with photos and your order ID. We will arrange a replacement or refund where appropriate.

7. Service availability & changes

We aim to keep the Service available, but we do not guarantee uninterrupted access. We may suspend, modify or discontinue parts of the Service for maintenance, security or operational reasons.

8. Disclaimers

To the maximum extent permitted by law, the Service and any Outputs are provided “as is” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be error-free or that AI-generated designs will meet your expectations.

9. Limitation of liability

Nothing in these Terms limits any liability that cannot be limited by law (such as liability for death or personal injury caused by our negligence, or for fraud).

Subject to the above, our total aggregate liability arising out of or in connection with the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) £100. We are not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill.

10. Indemnity

You agree to indemnify and hold harmless Designly and its operator from claims arising out of (a) your Inputs, (b) your use of the Service or any Output, or (c) your breach of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we are required to do so by law. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability and governing law) will survive.

12. Governing law & jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute, except that consumers resident in another part of the United Kingdom may also bring proceedings in their local courts.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, for material changes, give you reasonable advance notice (for example by email or an in-app notice). Continued use of the Service after changes take effect means you accept the updated Terms.
